Terms of Service
A legally binding agreement between you and Oryx Edge LLC governing your access to and use of the OryxLex platform. Includes an arbitration agreement and class-action waiver — read § 1.24.

1.1 Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Oryx Edge LLC, a Delaware limited liability company (“Oryx Edge,” “OryxLex,” “Company,” “we,” “us,” or “our”), governing your access to and use of the OryxLex platform and all associated services (collectively, the “Service”).
By accessing or using the Service, you acknowledge and agree that you:
- Have read, understood, and agree to be bound by these Terms in their entirety;
- Are at least 18 years of age and possess the legal capacity to enter into a binding contract;
- Are not barred from receiving the Service under the laws of the United States, your state of residence, or any other applicable jurisdiction;
- Will comply with all applicable laws, regulations, and professional conduct rules governing your bar examination preparation and legal education;
- Understand that these Terms incorporate by reference the Privacy Policy, AI Disclaimer, Educational Disclaimer, Refund Policy, Acceptable Use Policy, and all other policies linked herein or published on the Service.
If you do not agree to these Terms in their entirety, you must not access or use the Service. Continued use following any modification constitutes acceptance of the revised Terms.
1.2 Description of Service
OryxLex is an educational technology platform that leverages artificial intelligence and proprietary educational methodologies to assist law graduates and bar examination applicants with examination preparation.
Core Features (subject to change):
- Subject Outlines & Rule Statements: Original educational content organized by jurisdiction and subject matter.
- Multiple-Choice Question Banks: Licensed and original questions with explanatory rationales.
- Essay Prompts & Model Answers: Practice essay questions with AI-assisted grading and feedback.
- Performance Test Simulations: Simulated MPT-style exercises with timed conditions.
- AI Tutoring & Explanations: Conversational AI providing contextual explanations of legal concepts.
- Essay Scoring & Feedback: Algorithmic and AI-assisted assessment of user-submitted essays.
- Personalized Study Plans: Algorithmically generated adaptive learning pathways based on performance analytics.
- Predictive Analytics: Statistical modeling of examination readiness based on usage patterns and performance data.
- Flashcards & Spaced Repetition: Digital flashcard systems with algorithmic scheduling.
- Performance Dashboards: Analytics visualizing study progress, weak subject areas, and comparative benchmarking.
We reserve the right to modify, suspend, or discontinue any feature, functionality, or content at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.
1.3 Educational Purpose Only — Multi-Layered Disclaimer
OryxLex explicitly disclaims any role as a legal services provider:
- Not a Law Firm. OryxLex is not a law firm, does not employ attorneys to provide legal advice to users, and does not establish any attorney-client relationship through the Service.
- No Legal Advice. All content, including AI-generated explanations, essay feedback, and study recommendations, is educational in nature and does not constitute legal advice, legal opinion, or professional counsel on any specific legal matter.
- No Attorney-Client Relationship. No communication through the Service creates an attorney-client relationship, privileged communication, or duty of confidentiality beyond our Privacy Policy obligations.
- No Regulatory Endorsement. The Service is not accredited by the American Bar Association, any state bar association, or any governmental licensing authority as a formal legal education program.
- Jurisdictional Variation. Legal rules, standards, and examination formats vary by jurisdiction. Content may not reflect the specific requirements of your jurisdiction. You are responsible for verifying all information against your jurisdiction's current rules and study materials.
1.4 No Guarantee of Results — Explicit Waiver
Specifically, we do not warrant or guarantee that:
- You will pass any bar examination, MPRE, or any other professional licensing examination;
- You will achieve any specific score, percentile, or performance metric;
- You will obtain licensure to practice law in any jurisdiction;
- The Service will meet your personal study preferences, learning style, or subjective expectations;
- Past performance data, testimonials, or success rates of other users will predict or guarantee your individual results.
Any testimonials, success stories, or performance data displayed on the Service represent individual experiences and do not constitute a guarantee, warranty, or prediction of future results. Your results will depend on numerous factors outside our control, including your prior legal education, study habits, examination conditions, and the specific examination administered.
1.5 No Affiliation Disclaimer
OryxLex is not affiliated with, endorsed by, sponsored by, approved by, or otherwise connected to:
- The National Conference of Bar Examiners (NCBE) or any of its examinations (MBE, MEE, MPT, UBE);
- The State Bar of California or the California Bar Examination;
- Any state bar examiner, board of bar examiners, or character and fitness committee;
- Any governmental licensing authority, court, or regulatory body responsible for attorney admission;
- Any law school, bar review course, or accredited educational institution.
All educational content is either original to OryxLex or properly licensed from third-party content providers. NCBE-style questions, if included, are used under license or are original questions designed to simulate NCBE testing methodologies. We do not use actual, confidential, or unreleased examination materials.
1.6 Account Registration & Identity Verification
To access the Service, you must create an account and provide accurate, current, and complete information.
Registration Requirements
- You must provide your full legal name, a valid email address, and accurate biographical information;
- You must create a strong password and maintain its confidentiality;
- You must promptly update your account information to maintain its accuracy;
- You may not register for more than one account without express written permission;
- You may not register using the identity of another person, a fictitious name, or any automated registration system.
Account Security
- You are solely responsible for all activity occurring under your account, whether or not authorized by you;
- You must immediately notify us of any unauthorized access, security breach, or suspected account compromise;
- We reserve the right to suspend, terminate, or restrict access to any account at our sole discretion, including for violation of these Terms, suspicious activity, or non-payment.
Identity Verification. For institutional licenses, group subscriptions, or high-volume usage, we may require additional identity verification, including government-issued identification or educational institution affiliation confirmation.
1.7 Subscription Plans & Pricing

Pricing Changes.We may modify pricing for any plan prospectively. If you are on a recurring subscription, we will provide at least 30 days' advance notice of any price increase. Your continued use after the effective date constitutes acceptance of the new pricing. Promotional pricing is valid only for the specified term and converts to standard pricing upon renewal unless otherwise stated.
1.8 Automatic Renewal & Cancellation
All recurring subscriptions automatically renew at the end of each billing cycle unless canceled in accordance with this Section.
Renewal Mechanics
- You authorize Oryx Edge to charge your designated payment method for the renewal amount plus applicable taxes;
- Renewal occurs automatically on the calendar day corresponding to the commencement of your current subscription period (or the closest business day if that date does not exist in the renewal month);
- If your payment method fails, we will attempt to process payment using backup methods on file. If all methods fail, your subscription will enter a grace period.
Cancellation
- You may cancel your subscription at any time through your account settings or by contacting support@oryxlex.com;
- Cancellation takes effect at the end of the current paid billing period;
- You will retain access until the end of the current period;
- No partial refunds are provided for unused days within a billing period unless required by applicable law;
- Upon cancellation, your account will revert to a limited free tier (if available) or be deactivated.
Notice of Auto-Renewal. At least 5 days before each renewal date, we will send an email reminder to your registered email address confirming the renewal amount and cancellation instructions.
1.9 Free Trials & Promotional Access
If offered, free trials convert automatically to paid subscriptions unless canceled before the trial expiration.
- Trial duration, feature limitations, and conversion terms will be specified at signup;
- You must provide valid payment information to initiate a trial (for fraud prevention);
- You may cancel at any time during the trial without charge;
- If you do not cancel, your payment method will be charged at the standard rate for the selected plan;
- We reserve the right to limit one trial per user, household, or payment method.
1.10 Refund Policy
Monthly Plans. Generally non-refundable after purchase. If you experience a technical failure preventing access for more than 48 hours due to our systems, you may request a prorated credit.
Annual Plans. Refund requests may be considered within seven (7) calendar days of purchase if:
- You have not completed more than two (2) practice examinations;
- You have not submitted more than three (3) essays for AI grading;
- You have not accessed more than 10% of the total question bank;
- You submit your request to billing@oryxlex.com with your account details and reason for refund.
Chargebacks & Payment Disputes
- You agree to contact our billing team first to resolve any billing disputes before initiating a chargeback with your financial institution;
- Improper or fraudulent chargebacks may result in immediate account suspension, reporting to fraud databases, and pursuit of collection for amounts owed plus administrative fees;
- We reserve the right to contest chargebacks and provide evidence of your acceptance of these Terms and usage of the Service.
No Refunds For: Partial months, unused features, changes in examination schedule, failure to pass any examination, or dissatisfaction with AI-generated feedback quality.
1.11 Limited License
Subject to your compliance with these Terms, Oryx Edge grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, personal license to access and use the Service for your individual bar examination preparation.
This license does not permit:
- Commercial use, resale, or redistribution of any content;
- Use on behalf of third parties (except under valid institutional licenses);
- Creation of derivative works based on our content;
- Removal of copyright notices, watermarks, or proprietary markings;
- Use of scraping, automated data collection, or systematic downloading.
This license terminates automatically upon any breach of these Terms or cancellation of your subscription.
1.12 Intellectual Property Rights
All rights, title, and interest in and to the Service and its contents are owned exclusively by Oryx Edge LLC or its licensors.
Protected Assets Include:
- Software, source code, algorithms, and platform architecture;
- Databases, question banks, essay prompts, and educational content;
- AI models, training data, prompts, and output methodologies;
- User interface designs, graphics, logos, and visual assets;
- Trademarks, service marks, trade dress, and brand identifiers;
- Analytics models, scoring algorithms, and predictive methodologies;
- Trade secrets, proprietary study methodologies, and business processes;
- Aggregated and anonymized user data used for product improvement.
No rights are transferred to you except the limited license expressly granted in Section 1.11. Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.
AI Output Ownership. AI-generated explanations, feedback, and content provided through the Service are licensed to you for personal study use only. You may not claim authorship, copyright, or proprietary rights in AI-generated outputs.
1.13 User Content — License & Processing Authorization
You retain ownership of content you submit to the Service, including essays, notes, and study responses (“User Content”).
By submitting User Content, you grant Oryx Edge a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up license to:
- Host, store, reproduce, and display User Content on the Service;
- Process, analyze, and evaluate User Content using AI and algorithmic systems;
- Create anonymized, aggregated derivatives for product development, benchmarking, and research;
- Use de-identified User Content to train, fine-tune, or improve our AI models and educational content;
- Retain User Content as necessary for legal compliance, dispute resolution, and audit purposes.
1.14 AI Processing Consent
By using any AI-powered feature, you explicitly authorize Oryx Edge to process your submitted content using internal and third-party artificial intelligence systems.
You acknowledge and agree that:
- AI-generated content, including essay feedback, explanations, and predictions, may contain errors, omissions, inaccuracies, or outdated information;
- AI outputs are generated by statistical models and do not reflect legal judgment, professional expertise, or guaranteed correctness;
- You will independently verify all AI-generated content against authoritative sources, including your jurisdiction's current law, bar examination study materials, and licensed legal resources;
- AI-generated essay scores and readiness predictions are estimates based on algorithmic analysis and may not correlate with actual examination performance;
- We do not guarantee that our AI systems are free from bias, hallucination, or inconsistent outputs;
- Your use of AI features is at your own risk, and Oryx Edge disclaims liability for any study decisions, examination strategies, or legal conclusions based on AI-generated content.
Third-Party AI Models.The Service utilizes AI models provided by OpenAI, Anthropic, and other vendors. Your content may be transmitted to these vendors' secure processing environments subject to their respective terms and our Data Processing Addendum.
1.15 Prohibited Conduct — Tiered Enforcement
Tier 1 — Immediate Termination & Legal Action
- Sharing account credentials, selling access, or enabling unauthorized third-party use;
- Copying, downloading, or redistributing Service content outside the platform;
- Reverse engineering, decompiling, or attempting to derive source code;
- Training competing AI systems or machine learning models using Service content;
- Uploading malware, exploits, or code designed to disrupt the Service;
- Circumventing access controls, paywalls, or usage limitations through technical means.
Tier 2 — Suspension & Investigation
- Using automated scripts, bots, or scrapers to harvest content or data;
- Creating multiple accounts to exploit free trials or promotional offers;
- Submitting content that infringes third-party intellectual property rights;
- Using the Service for any unlawful purpose or in violation of professional conduct rules.
Tier 3 — Warning & Corrective Action
- Attempting to manipulate AI scoring systems through known-answer submissions;
- Posting misleading or false information in community features (if applicable);
- Violating community guidelines or respectful conduct standards.
1.16 Anti-Bot & Competitive Intelligence Restrictions
Use of automated systems to harvest, benchmark, mirror, replicate, or compete with the Service is strictly prohibited. This includes:
- Automated data collection exceeding reasonable personal use;
- Systematic monitoring of content changes, pricing, or feature releases;
- Creation of derivative databases, study guides, or competing products using Service content;
- Use of the Service to train or benchmark third-party AI systems without written authorization.
We employ technical measures to detect and prevent automated access, including rate limiting, CAPTCHA challenges, behavioral analysis, and digital fingerprinting. Violations may result in immediate IP blocking, account termination, and civil litigation for unfair competition and misappropriation.
1.17 Security Monitoring & Data Collection
We actively monitor usage patterns to protect our systems, enforce these Terms, and improve the Service. Monitoring may include:
- Analysis of login patterns, IP addresses, and device fingerprints;
- Detection of anomalous usage indicating account sharing or automated access;
- Review of User Content for compliance with Acceptable Use Policy;
- Recording of AI interaction logs for quality assurance and model improvement.
By using the Service, you consent to this monitoring. We will handle all collected data in accordance with our Privacy Policy.
1.18 Third-Party Services & Integration Liability
The Service integrates with third-party services and vendors, including but not limited to:
- Stripe, Inc. (payment processing) — https://stripe.com
- OpenAI, LLC (AI language models) — https://openai.com
- Anthropic, PBC (AI language models) — https://www.anthropic.com
- Supabase, Inc. (database and authentication) — https://supabase.com
- Analytics providers (usage tracking and performance monitoring)
We are not responsible for the availability, accuracy, privacy practices, or content of third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies. We disclaim all liability arising from third-party service failures, data breaches, or API changes.
1.19 Service Availability & SLA Disclaimer
We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service.
- The Service may be unavailable during maintenance windows, system upgrades, or force majeure events;
- We do not warrant that defects will be corrected or that the Service is free of viruses or harmful components;
- You are responsible for maintaining compatible hardware, software, and internet connectivity.
No Service Level Agreement (SLA) is provided for individual subscriptions unless expressly agreed in a separate institutional contract.
1.20 Beta Features
Beta or experimental features are provided “AS IS” without warranties of any kind. We may modify, suspend, or remove beta features at any time without notice. Feedback on beta features is voluntary and may be used without compensation.
1.21 Comprehensive Disclaimers
WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Warranties that the Service will meet your requirements or be compatible with your devices;
- Warranties regarding the accuracy, reliability, or completeness of educational content or AI outputs;
- Warranties regarding uninterrupted or secure access to the Service.
1.22 Limitation of Liability — Multi-Tier Cap
This includes but is not limited to:
- Loss of profits, revenue, data, goodwill, or anticipated savings;
- Costs of substitute goods or services;
- Failure to pass any bar examination or obtain licensure;
- Reliance on AI-generated content leading to incorrect legal conclusions;
- Personal or professional reputational harm.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The total amount paid by you to Oryx Edge in the twelve (12) months preceding the claim; OR
- One Hundred U.S. Dollars (US $100.00).
1.23 Indemnification
You agree to indemnify, defend, and hold harmless Oryx Edge LLC and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms or any applicable law, your infringement of any third-party right, your negligent or willful misconduct, or any dispute between you and another user of the Service.
1.24 Arbitration Agreement & Class Action Waiver
Agreement to Arbitrate.Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or your relationship with Oryx Edge shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect.
Arbitration Procedures
- The arbitration shall be conducted by a single arbitrator;
- The arbitration shall take place in New York County, New York, or at your option, in the federal judicial district where you reside;
- The arbitrator shall apply the substantive law of the State of New York, excluding its conflict-of-laws principles;
- The arbitrator's award shall be final and binding;
- The arbitrator may not consolidate claims or conduct class proceedings;
- The prevailing party shall be entitled to recover reasonable attorneys' fees and arbitration costs.
Small Claims Exception. Either party may bring qualifying claims in small claims court in the jurisdiction where you reside or in New York County, New York, provided the claim remains in that court and does not seek relief affecting other parties.
30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@oryxlex.com within 30 days of first accepting these Terms.
1.25 Governing Law & Jurisdiction
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
1.26 Termination & Account Closure
We may suspend, restrict, or terminate your access to the Service at any time, with or without cause, and with or without notice.
Termination by You. You may terminate your account at any time through your account settings or by contacting support@oryxlex.com. Upon termination, your right to use the Service ceases immediately; we may retain your User Content as required by law or for legitimate business purposes; provisions intended to survive termination shall survive.
1.27 Export Controls & Sanctions Compliance
You represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country subject to U.S. government embargo or sanctions;
- You are not listed on any U.S. government list of prohibited or restricted parties;
- You will not use the Service in violation of U.S. export laws or regulations;
- You will not use the Service to support activities related to weapons proliferation, terrorism, or human rights abuses.
1.28 Electronic Communications & Consent
You consent to receive electronic communications from us, including Terms of Service updates, billing notifications, service announcements, and (if opted in) marketing communications. You agree that all such communications satisfy any legal requirement that they be in writing.
1.29 Changes to Terms
We may modify these Terms at any time. Material changes will be effective 30 days after posting to the Service or after email notification. Non-material changes are effective immediately upon posting. We maintain a version history available upon request to legal@oryxlex.com.
1.30 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, internet service provider failures, third-party AI vendor outages, cyberattacks, or labor disputes.

1.32 DMCA Copyright Policy
If you believe content on the Service infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (17 U.S.C. § 512).

Takedown Notice Requirements
To be effective under the DMCA, your notice must include:
- A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material claimed to be infringing and its location on the Service (URL preferred);
- Your contact information: address, telephone number, and email;
- A statement that you have a good-faith belief that use of the material is not authorized;
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act for the owner.
Counter-Notification
If your content was removed in response to a takedown notice and you believe the removal was in error, you may submit a counter-notification pursuant to 17 U.S.C. § 512(g). We will forward valid counter-notifications to the original complainant and restore content within 10–14 business days unless the complainant files a court action.
Repeat Infringers
We will terminate, in appropriate circumstances, the accounts of users who are repeat copyright infringers.
1.33 Security & Safeguards
We employ commercially reasonable administrative, technical, and physical safeguards to protect your account and your data:
- Encryption: TLS 1.3 in transit; AES-256 at rest.
- Access Controls: Role-based with the principle of least privilege; multi-factor authentication for administrative access.
- Audit Logging: Comprehensive logging of data access and system changes; tamper-evident retention.
- Vulnerability Management: Regular vulnerability assessments and penetration testing by independent third parties.
- Backups & Disaster Recovery: Encrypted, geographically distributed backups with tested recovery procedures.
- Incident Response: Documented response plan with defined escalation procedures; 72-hour breach notification window for affected users.
Report a vulnerability: We do not currently run a bug bounty program but will acknowledge legitimate responsible disclosures to legal@oryxlex.com.
